They don't admit anything but if they are innocent why pay out?

I think Bosch were complicit as they supposedly requested VW indemnify them for any blowback regarding the software back in 2008. Even if they didn’t create the code (at least independently) they were aware of it and assisted in its supply for many years without notifying anyone. 
I wouldn’t be surprised if their request was accepted and VW will be underwriting the payout.
Whether Bosch were guilty ( or not ) and for sure they were not innocent ( or they would have fought the case) most likely this was deal done on legal advice, and was from a cost viewpoint, was the best deal they were going to get. So they took it.

Must have been done on legal advice all right.  
"it doesn’t acknowledge the facts as alleged by the plaintiffs, nor does it admit liability"  ...but still paying out US $327.5m.  They must have been culpable in some manner.

As I understand it, Bosch oversee's the mapping and essentially gives it the seal of approval. So they knew about the emissions cheat but signed off on it anyway. Not admitting to anything was probably a condition they had in place prior to paying out.
